Jonathan S. Shenson

Jonathan S. Shenson is a member of KTB&S.

Mr. Shenson received his Bachelor of Arts from the University of California, Santa Barbara in 1993, where he graduated first in his class in the economics department. Mr. Shenson received his Juris Doctor from the University of California, Los Angeles in 1996. While at UCLA, he participated in the law school's Moot Court Honors Program and was a member of the Pacific Basin Law Journal.  After graduation, he served as a law clerk to the Honorable Edward D. Jellen, United States Bankruptcy Court for the Northern District of California, from 1996 to 1998.

Mr. Shenson’s practice includes representation of debtors, secured creditors (including debtor in possession lenders), committees, acquirers, and other parties in chapter 11 cases, “out-of-court” restructurings and work-outs, acquisitions and assignments for the benefit of creditors.  Mr. Shenson has become one of the "go-to" lawyers for structuring and leading out-of-court, distress acquisitions and work-outs in the entertainment area, including, most recently, Millennium Entertainment, LLC in connection with its acquisition of substantially all of the assets of First Look Studios Inc. from the debtor-studio's secured lender. 

Mr. Shenson's recent representations also include advising a national, wholesale nursery operator in connection with its “out-of-court” restructuring of a $100 million credit facility and re-capitalization and Cheryl & Co, a subsidiary of 1-800-Flowers, in connection with its acquisition of Mrs. Beasley's Bakery through an assignment for the benefit creditors.  Mr. Shenson also recently represented the official committee of unsecured creditors appointed in the jointly administered chapter 11 cases of Ecoly International, Inc., et al. (including Sexy Hair Concepts, LLC, a hair product manufacturer and wholesaler) in the United States Bankruptcy Court for the Central District of California.  Mr. Shenson has also been active in representing acquirers of distressed-real estate via loan to own transactions.

Mr. Shenson’s involvement in countless chapter 11 cases includes representation of the following debtors:  National R.V. Holdings, Inc. (ninth largest manufacturer of “Class A” motor homes), Ronco Corporation (marketer of proprietary consumer products of Ron Popeil), PrediWave Corporation (international technology company which designed and sold revolutionary content delivery system for use by broadband digital service providers), Assisted Living Concepts, Inc. (owner and operator of assisted living facilities), Paragon Steakhouse Restaurants, Inc. (owner and operator of steakhouses) and KeraVision (a developer and provider of non-laser vision correction products).  Mr. Shenson has represented the principal secured parties in the chapter 11 cases of Latshaw Drilling (oil and gas exploration firm), BH S&B Holdings, Inc. (the second chapter 11 filing of Steve & Barry's, a retailer), InterDent, Inc. (a dental group management company), Global Health Sciences (a nutritional supplement company) and Remediation Capital Corporation (a remediation company).  Mr. Shenson has also represented the official committee of unsecured creditors in the chapter 11 cases of Fremont General Corporation (a bank holding company), MedPartners Provider Network, Inc. (a healthcare provider network) and Superior National Insurance Group, Inc. (a workers’ compensation insurer).  

Mr. Shenson's practice also includes representation of agents and lenders, borrowers and other parties in a broad array of credit transactions, including syndicated, single-bank, secured, unsecured, senior and subordinated credits and credit enhancement facilities.

Mr. Shenson is a frequent guest on bankruptcy and commercial law panels, and has lectured on various topics including deepening insolvency, cash collateral, fiduciary duties of officers and directors of distressed companies, real estate leases in bankruptcy, 2005 Amendments to the Bankruptcy Code, and the state of the law with regard to whether and to what extent creditors in bankruptcy cases (secured, undersecured and unsecured) are entitled to interest, fees and costs on their claims.  Most recently, Mr. Shenson has been a panelist at the California Bankruptcy Forum's 23rd Annual Insolvency Conference (Squaw Valley, CA; 2011) and the American Bankruptcy Institute's Southwest Bankruptcy Conference (Las Vegas, Nevada; 2011).

Recognized by Chambers USA as one of California’s leading bankruptcy practitioners, Mr. Shenson is among one of Southern California’s “Super Lawyers” named by Law & Politics and Los Angeles Magazine.

Mr. Shenson is admitted to practice law in the United States District Courts for the Northern, Eastern, Central and Southern Districts of California, as well as in the Ninth Circuit Court of Appeals.  He is a member of the American Bankruptcy Institute, the Turnaround Management Association, the California Bar Association and the Financial Lawyers Conference.  Mr. Shenson has also served on the State Bar of California's Insolvency Law Committee.
